LLC for YouTube Channel: Do You Need One and How to Form It

You don't need an LLC to create or monetize your channel on YouTube. However, if you have real income, sponsorships, or a team, it is a good idea to set up an LLC. An LLC in the U.S. for your YouTube channel protects your personal assets and gives you a business entity to conduct business and sign contracts.

An LLC does not protect against international taxation. International taxation and U.S. withholding taxation will still apply if you reside outside of the U.S.

Many people set up an LLC for their channel after they receive their first sponsorship contract.

An LLC has ongoing costs such as an EIN, a registered agent, and annual filings. If these costs and obligations are not met, the LLC provides no asset protection.

Do you actually need an LLC for a YouTube channel?

Initially, an LLC is not necessary. If you do not have any income-producing activities through your channel, you can receive your income through your personal account.

You should set up an LLC for your channel if you have a sponsorship contract through your channel and the contract is for a significant amount. You should also set up an LLC if you have a team member or are subject to personal liability for a product through your channel.

At 500 subs, you see founders forming LLCs. That's a bit early. LLCs should be formed when there's revenue or expected risk, and usually that's at or above the $1,000/month level, or with the signing of a significant income-generating contract.

Best states for a YouTube LLC

For those who are not residents of any of the below states, the options are Wyoming, New Mexico, and/or Delaware. Unless there's a good reason not to, residents of the U.S. should form an LLC in the state where they reside; a Wyoming LLC formed and operated in Texas would still require Wyoming to exercise jurisdiction over the LLC, and you'd incur two sets of fees.

The first year is always the most expensive. Expect to pay an additional $50 to $150 for a registered agent the first year and every year thereafter. You can't use your home address for the registered agent. Delaware is good for raising capital and therefore good for investors, not content creators. Use it only if expected capital raises are on the table.

How do you form an LLC for your YouTube channel?

It's more important to get the order right than the exact steps. There are only a few steps.

  1. Check your name. Look up your state's business database. You do not have to name your LLC the same thing as your YouTube channel, but there is friction when claiming AdSense with a name mismatch, so it is common to name your LLC "Your Channel Name LLC."
  2. Appoint a registered agent. A registered agent receives service of process on behalf of the LLC.
  3. Complete and submit the formation document. This document is called Articles of Organization in some states and a Certificate of Formation in others. Wyoming and New Mexico typically approve formation documents within 1 to 3 business days.
  4. Prepare an operating agreement. This is not required to be filed with the state in most cases, but it protects the veil of liability in single-member LLCs and may be required by banks.
  5. Apply for an EIN. Banks may also require this to be filed before funds can be accepted by the LLC.
  6. Open a business bank account. All income and sponsor payments must be paid to the LLC.

How does a non-resident get an EIN for a YouTube LLC?

Non-U.S. residents need a few more steps to obtain an EIN for their LLC—complete IRS Form SS-4. Foreign persons without a Social Security number or ITIN must use the fax or phone application. The phone application may be completed the same day, but the international line has limited hours. The other methods take a lot longer. Mail takes 4 to 6 weeks and should be avoided.

The responsible party field is the most issue-prone field. The name must match your full legal name as noted on your passport, and it can't be the name of the LLC. Using the LLC name will lead to rejection of your application and will add an additional week of processing time.

The CP 575 is the notice you will want to keep. Banks and other financial institutions may ask to see this notice. If you lose this notice, you may contact the IRS and request a 147C letter.

AdSense withholding does not go away with an LLC.

The surprise happens when non-U.S. creators form an LLC and think they're protected from U.S. withholding. An LLC will protect your personal assets, but for tax purposes, a single-member LLC is disregarded and owned by you. The IRS looks beyond the LLC and sees you as an individual.

When filling out the Google Tax Interview, which is completed by individuals, not entities, you will need to complete a W-8BEN. Based on the information entered, Google may withhold taxes from your AdSense payments. Nepal, for example, has a 30% withholding tax. Creators located in other countries that have a tax treaty with the U.S. may qualify for a lower rate.

Withholding taxes will not change with the formation of an LLC.

Income from sources outside of the U.S. will not be subject to this withholding. For an estimate of the withholding, you will have to conduct an analysis of your YouTube Analytics. The structure may not be economically sound.

Form 5472 and state reports you still owe every year.

There are two surprising issues.

The first is Form 5472, and the second is the pro forma Form 1120. Foreign single-member LLCs must complete this form each year to disclose their transactions with the LLC and report capital contributions and/or distributions. The form must be filed by April 15th each year. The IRS will not waive the penalty, which is $25,000 per form. An extension may be obtained by filing Form 7004.

The second is the state annual report and/or franchise tax. Wyoming requires single-member LLCs to file an annual report. Delaware requires a $300 franchise tax each year. Failure to file these reports will result in administrative dissolution of the LLC. Both states allow you to reinstate the LLC. However, the costs associated with reinstatement exceed the annual report filing fee.

As of March 2025, domestic LLCs are not required to file Beneficial Ownership reports with FinCEN. To confirm this is still the case, you will need to check the FinCEN website.

Mistakes creators make

  • Mix money. Using your business's money to pay personal expenses intermingles your business and personal finances, defeating the purpose of liability protection and creating a huge headache when preparing your business and personal taxes.
  • Use the incorrect tax form with Google. As a foreign owner, using your business's EIN to complete a W-9 and giving it to Google can cause your business to withhold taxes at a rate that is probably not correct.
  • File a business in the wrong state. A Texas resident creating a business in Wyoming means that the Texas resident still pays taxes to Texas and Wyoming and still has to file annual reports in both states.
  • Use the incorrect payment name. Mismatching your business name on payment and tax forms causes delays in receiving payment.
  • Filing a business in a state before the business makes income. A business owned by a non-resident of a state still has to pay the state's taxes and file forms with the state, even if the business is not making any income.

You can expect to pay between $150 and $250 to set up your business in Wyoming. Preparing Form 5472 each year and filing your taxes costs between $110 and $210 each year.

Set up your YouTube LLC with the paperwork in the right order.

If you are ready to form, file the Articles of Organization, appoint a registered agent, and apply for the EIN, use your full passport name as the responsible party so the SS-4 does not bounce due to a name mismatch. Check each state's Secretary of State website for current fees, then pick the state that fits where your audience and income come from.

Can I monetize my YouTube channel without an LLC?

You can monetize your channel with or without an LLC. An LLC provides brand and asset protection and helps you secure contracts and sponsorships. However, you can still create and monetize your channel without an LLC.

Is it necessary for my LLC to be linked to my YouTube channel?

Not necessarily. An LLC linked to your channel makes banking and sponsor invoicing easier.

Can a citizen from another country create and own a YouTube LLC?

Yes, foreigners can form a U.S. LLC. U.S. LLCs do not have any citizenship or residency requirements. You need an Employer Identification Number (EIN) and will need to file Form 5472 each year.

Does forming an LLC reduce my self-employment tax?

An LLC does not change your self-employment tax status. For a foreign owner, the default LLC classification is to treat the LLC Member the same as a sole proprietor for self-employment tax. The Member may elect to have the LLC classified as an S Corporation, but the Member remains subject to self-employment tax.

How long does it take to set up an LLC for my YouTube channel?

It takes 1 to 3 business days to get approval from the Secretary of State in New Mexico and Wyoming. Processing times for the other business-related tasks (faxed EIN, opening a bank account) vary and are outside of your control.
